These Terms of Service ("Terms") govern your access to and use of the website gigit.org and related services (collectively, the "Services") provided by Valish Studios, LLC ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Account Registration
To access certain features of the Services, you must register for an account. When you register:
- You agree to provide accurate, current, and complete information
- You agree to maintain and promptly update your account information
- You are responsible for safeguarding your password and for all activities under your account
- You agree to notify us immediately of any unauthorized use of your account
- You may not transfer your account to another person without our prior written consent
3. Use of the Services
Permitted Use
You may use the Services to:
- Create and maintain a profile showcasing your skills and work history
- Browse, search for, and apply to gig opportunities
- Post gig opportunities and review applications from workers
- Communicate with other users regarding gig opportunities
- Leave and receive reviews and ratings
Prohibited Conduct
You agree not to:
- Violate any applicable law, regulation, or third-party rights
- Post false, inaccurate, misleading, defamatory, or libelous content
- Impersonate any person or entity or falsely represent your affiliation
- Post content that is discriminatory, harassing, threatening, or hateful
- Use the Services for any illegal purpose or to promote illegal activities
- Interfere with or disrupt the Services or servers or networks
- Circumvent, disable, or interfere with security features
- Scrape, crawl, or use automated means to access the Services without permission
- Use the Services to send spam or unsolicited communications
- Collect or harvest user information without consent
- Post content containing viruses or malicious code
4. User Content
Your Content
You retain ownership of content you post on the Services ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, modify, create derivative works based on, distribute, publicly display, and otherwise exploit your User Content in connection with the Services.
Content Standards
You are solely responsible for your User Content. You represent that:
- You own or have the necessary rights to post your User Content
- Your User Content does not violate the rights of any third party
- Your User Content is accurate and not misleading
- Your User Content complies with these Terms and applicable law
Content Removal
We reserve the right, but are not obligated, to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.
5. Gigs and Transactions
Platform Role
Gigit.org is a platform that connects workers with employers. We are not a party to any agreement between users. We do not employ workers, and we are not responsible for:
- The quality, safety, or legality of any gig posted
- The qualifications, background, or identity of any user
- The ability of workers to complete gigs or employers to pay
- User conduct on or off the platform
Worker Responsibilities
If you are a worker, you understand and agree that:
- You are an independent contractor, not an employee of Gigit.org or the employer
- You are responsible for your own taxes, insurance, and legal compliance
- You should verify gig details and employer identity before accepting work
- Payment terms are between you and the employer
Employer Responsibilities
If you are an employer, you understand and agree that:
- Workers are independent contractors, not your employees (unless otherwise agreed)
- You are responsible for complying with all applicable employment and labor laws
- You will not discriminate against workers based on protected characteristics
- You will pay workers as agreed and in compliance with applicable law
6. Reviews and Ratings
Users may leave reviews and ratings after completing gigs. Reviews must be honest, accurate, and based on actual experience. We may remove reviews that violate our policies. We do not verify reviews and are not responsible for their accuracy.
7. Fees and Payments
Creating an account and basic use of the Services is currently free. We reserve the right to introduce fees for certain features in the future. If we do, we will provide notice before fees take effect. Any payments processed through the Services are subject to our payment processor's terms.
8. Intellectual Property
The Services and their content, features, and functionality are owned by the Company and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our permission.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICES
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT
- ANY TRANSACTION BETWEEN YOU AND ANOTHER USER
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your User Content, your violation of these Terms, or your violation of any rights of another.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Pennsylvania. You agree to resolve disputes individually and waive any right to a class action.
13. Termination
We may terminate or suspend your account and access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that should survive termination will survive.
14. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Waiver: Our failure to enforce any right or provision will not be a waiver of that right or provision.
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
- Governing Law: These Terms are governed by the laws of Pennsylvania, without regard to conflict of law principles.
